Terms & Conditions

These Terms & Conditions (“Terms”) govern your access to and use of the websites operated by FinPro Consulting Limited (“FinPro”, “FinPro Consulting”, “we”, “us”, “our”) including finpro360.com and related pages (the “Sites”), and—where applicable—our B2B consulting and advisory services (the “Services”). By using the Sites or engaging our Services, you agree to these Terms. If you do not agree, do not use the Sites or Services.

1) Who we are

Controller / Contracting entity: [FinPro Consulting Limited]
Email: [[email protected]]

FinPro provides global licensing advisory, company formation, and bank/EMI account opening consultation for institutional and corporate clients. We do not provide retail trading services, investment advice, brokerage, or client-fund custody.

2) Eligibility and B2B nature

The Sites and Services are intended for business users. By using them, you confirm you are acting on behalf of a company or organization and have authority to bind that entity.

3) Relationship to other terms

Your use of the Sites is also subject to our Privacy Policy and Cookie practices. Specific projects may be governed by a proposal, order form, statement of work, or master services agreement (collectively, “Engagement Terms”). If there is a conflict, the Engagement Terms control for that project.

4) Services overview (no guarantees)

We provide consulting related to:

  • Licensing and regulatory pathways (e.g., jurisdiction scoping, application preparation)
  • Global company formation and corporate maintenance
  • Bank/EMI/payment account opening support (introductions, documentation guidance)

Outcomes are not guaranteed. Regulators, banks, EMIs, and registrars act at their sole discretion. Timeframes, approvals, and account openings are outside our control.

5) Client responsibilities

You agree to:

  • Provide complete, accurate, and timely information and documents
  • Ensure all submitted materials are lawful and that you have the right to share them
  • Comply with applicable laws (including KYC/AML, sanctions, anti-bribery, data protection)
  • Promptly review drafts, respond to queries, and make decisions to avoid delays

We may suspend or cease Services if information is incomplete, unlawful, misleading, or if proceeding would create regulatory or sanctions risk.

6) Fees, expenses, and taxes

  • Pricing & invoices. Fees are as quoted in our proposal/Engagement Terms. Unless stated otherwise, government charges, third-party vendor fees, legalization/notarization, courier, translations, and professional disbursements are additional and billed at cost.
  • Payments. Invoices are due within [7/14/30] days of the invoice date. We may require deposits or milestone payments. Late amounts may accrue interest at [X% per month] (or the maximum lawful rate).
  • Refunds. Unless expressly stated otherwise, professional time already performed and third-party/government fees paid are non-refundable, including where an authority or bank declines an application.
  • Taxes. Fees are exclusive of VAT/GST/withholding or similar taxes, which are your responsibility.

7) Changes, scope control, and timelines

Any change in scope, assumptions, or timelines will be handled through written confirmation (e.g., email) and may adjust fees and delivery dates. Estimated timelines are not guarantees.

8) No legal, tax, or investment advice

We are not a law firm, accounting firm, broker, or investment adviser. Any information provided is for general guidance. You should obtain independent legal, tax, and financial advice before making decisions.

9) Compliance; KYC/AML; sanctions

We may conduct KYC, due diligence, and sanctions screening. We may decline or terminate engagements involving restricted activities, sanctioned persons/jurisdictions, or elevated financial crime risk. You warrant that neither you nor your affiliates are subject to applicable sanctions, and you will not use the Services for unlawful purposes.

10) Confidentiality

Each party will protect the other’s non-public information using at least reasonable care, and use it solely to perform or receive the Services. These obligations do not apply to information that is public, already known without duty of confidence, independently developed, or rightfully received from a third party. We may disclose as required by law or to advisors under confidentiality.

11) Intellectual property and deliverables

  • Our IP. Methods, templates, know-how, and tools used or developed by FinPro remain our intellectual property.

  • Feedback. You grant us a royalty-free license to use suggestions to improve our Services.

12) Third-party services and introductions

We may recommend or introduce third-party providers (e.g., banks, corporate secretaries, law firms). These third parties are independent from FinPro. We are not responsible for their acts, omissions, fees, or outcomes. You enter separate agreements directly with them.

13) Site use and acceptable conduct

You agree not to:

  • Interfere with the Sites’ operation, attempt to gain unauthorized access, or introduce malware
  • Copy, frame, mirror, scrape, or reverse-engineer the Sites except as permitted by law
  • Use the Sites or Services in violation of laws or third-party rights
We may suspend access to protect security or integrity.

14) Data protection

Personal data is handled per our Privacy Policy. You will provide any required notices to your personnel/shareholders whose data you share with us and ensure a lawful basis for processing.

15) Publicity

With your prior consent (not to be unreasonably withheld), we may reference your company name and logo in client lists or case studies. Any sensitive details will be anonymized unless otherwise agreed.

16) Warranties and disclaimers

We will perform the Services with reasonable skill and care consistent with B2B consulting practice. Except as expressly stated, the Sites and Services are provided “as is” without warranties of any kind, whether express, implied, or statutory (including merchantability, fitness for a particular purpose, or non-infringement).

17) Limitation of liability

To the maximum extent permitted by law:

  • Neither party is liable for indirect, incidental, special, punitive, or consequential damages, loss of profits, revenue, or business opportunity, even if advised of the possibility.
  • FinPro’s aggregate liability arising out of or related to the Sites or Services is limited to the fees paid or payable to FinPro for the specific project during the 12 months preceding the event giving rise to liability.
  • Nothing limits liability for fraud, willful misconduct, or liability that cannot be limited by law.

18) Indemnification

You will indemnify and hold harmless FinPro, its affiliates, and personnel from claims, damages, costs, and expenses (including reasonable legal fees) arising out of: (a) your materials or instructions; (b) your breach of these Terms or applicable law; (c) third-party claims related to your use of the deliverables contrary to these Terms.

19) Force majeure

Neither party is liable for delay or failure caused by events beyond reasonable control, including acts of God, government action, labor disputes, cyber incidents, or utility failures, provided reasonable efforts are used to mitigate.

20) Term, termination, and suspension

These Terms apply while you use the Sites or any Engagement Terms are in effect. Either party may terminate Services per the Engagement Terms or immediately for material breach not cured within [10/15/30] days. We may suspend Services for non-payment, legal/compliance risk, or security concerns. Sections 8–19 and 21–24 survive termination.

21) Export control

You will not export, re-export, or use deliverables in violation of applicable export control, sanctions, or anti-boycott laws.

22) Assignment and subcontracting

You may not assign or transfer your rights or obligations without our written consent (not to be unreasonably withheld). We may subcontract portions of the Services; we remain responsible for subcontractors’ performance.

23) Modifications to the Terms

We may update these Terms periodically. Changes take effect when posted on the Sites with the “Last updated” date revised. Material changes will be reasonably highlighted.

24) Governing law; venue; dispute resolution

These Terms and any dispute or claim (including non-contractual disputes) are governed by the laws of [governing law & jurisdiction, e.g., Hong Kong SAR / England & Wales / Malaysia (Labuan)], and the courts of [that location] have exclusive jurisdiction.
Optional (replace if preferred): Any dispute will be finally resolved by arbitration under [rules and seat, e.g., HKIAC in Hong Kong], with proceedings in English. Judgment on the award may be entered in any court of competent jurisdiction.
