General
What does FinPro Consulting do?
We help brokers, prop firms, fintechs and investment businesses incorporate across jurisdictions, obtain financial licences, open EMI/bank accounts, complete MT4/5 purchase & annual KYC, and build finance‑grade websites. Services include advisory, documentation, project management, and compliance set‑up.
Who typically engages FinPro?
Emerging and mid‑sized brokerages, prop trading firms, asset managers, market educators, payment start‑ups, and family offices seeking compliant structures for global operations.
Do you support multiple languages?
Yes. We work in English and Chinese (Simplified/Traditional), with partner coverage for Japanese, Korean, Indonesian, and Portuguese upon request.
How does an engagement with FinPro work?
- Discovery (free): scope, jurisdictions, timelines.
- Proposal & milestones: deliverables, fees, schedule.
- KYC onboarding: collect IDs, corporate docs, source‑of‑funds (as needed).
- Execution: incorporation/licensing/account opening/website build.
- Handover & aftercare: compliance calendar, annual filings, renewals.
How are fees structured?
Engagements are milestone‑based. A typical structure is 50–60% on signing, 40–50% on major milestone (e.g., company issuance or licence submission). Third‑party fees (e.g., government, courier, apostille, bank/EMI) are charged at cost. Your invoice includes official payee and banking details; we never change bank details via email.
How long do projects take?
- Company formation: 3–15 working days (jurisdiction‑dependent).
- EMI/bank account: 2–8 weeks (due diligence & queue times).
- MT4/5 KYC solution: typically ~30 working days after complete docs are received.
- Financial licensing: 1–6 months+ depending on regulator and scope.
- Website: 2–4 weeks for standard finance sites.
Company Formation
Which jurisdictions do you cover?
Core jurisdictions include Hong Kong, Singapore (on request), Mauritius, St. Lucia, Seychelles, BVI, Labuan (Malaysia), Cyprus, and the UK. We advise based on banking/EMI readiness, licensing pathways, and your operating footprint.
What documents do you need to incorporate a company?
- Passport and proof of residential address of all directors/shareholders/UBOs (within 3 months).
- Professional KYC/AML form, CVs, and source‑of‑funds/wealth (if required).
- Company name options, business scope, share structure, and registered address preference.
- Any regulatory or banking requirements that may affect constitution documents.
Do you provide nominee director/shareholder services?
Nominees are available in some jurisdictions, subject to enhanced due diligence and proper control agreements. We prioritise transparency and regulator‑friendly structures; nominees are not a substitute for disclosing UBOs where required.
What ongoing maintenance is required?
- Annual company secretary/registered agent renewal.
- Annual returns, accounting, audits (if applicable), tax filings.
- Economic substance or local presence tests (jurisdiction‑specific).
- Licence renewals where relevant.
Can we change business scope or shareholding after incorporation?
Yes. We assist with post‑incorporation changes: director/share transfers, share capital adjustments, activity updates, registered address, and bank/EMI notifications. Some changes may trigger fresh KYC or regulatory approval.
Financial Licensing
What licences are common in Mauritius for brokers?
Popular categories include Investment Dealer (various sub‑types) under the Financial Services Act. We advise on scope, capitalisation, key personnel, and technology/compliance stack before filing with the FSC.
Do you assist with Seychelles Securities Dealer licences?
Yes. We support end‑to‑end: entity readiness, manuals (AML/CFT, risk, governance), board and MLRO appointments, application preparation and liaison with the FSA. Banking/EMI strategy is aligned in parallel.
Can FinPro support a Cyprus Investment Firm (CIF) application?
Yes—through specialist partners. Expect stringent governance, capital, and local staffing requirements under CySEC. We structure pre‑application gap checks and documentation pathways.
Is St. Lucia suitable for licensing?
St. Lucia is commonly used for company formation and operational structuring. For licensing, we assess your business model and direct you to regulators that match your intended activities and risk appetite.
Do you help with UK permissions (AR/EMI/crypto registration)?
We can introduce UK specialists for Appointed Representative models, payments/EMI permissions, and crypto registrations. Expect elevated governance and financial crime controls under the FCA.
Is Labuan a good option for brokerage or money services licences?
Labuan offers several financial service licences with competitive tax positioning. We review your cross‑border flows, substance, and banking to determine suitability and next steps with LFSA.
What are the typical prerequisites before filing a licence?
- Incorporated entity with shareholding and capital plan.
- Local substance plan (office/staff, where required).
- Governance structure: board, MLRO/Compliance, internal audit arrangements.
- Policies & manuals: AML/CFT, risk, governance, complaints, outsourcing, safeguarding (for payments).
- Technology stack: trading/CRM/PSP vendors, information‑security controls.
EMI & Bank Accounts
What’s the difference between an EMI account and a bank account?
EMIs (Electronic Money Institutions) provide safeguarded payment accounts and multi‑currency IBANs, usually with faster onboarding and global coverage. Banks offer traditional current accounts and credit lines but with more conservative onboarding for trading‑related businesses.
What documents do EMIs/banks usually request?
- Company incorporation pack and registers.
- Director/UBO KYC (ID + address) and source of wealth/funds.
- Business model, flow of funds, top counterparties, and expected volumes.
- Website, contracts, and compliance policies (AML/CFT, sanctions screening).
- Licences/permissions if applicable.
Can you guarantee EMI/bank approvals?
No. Onboarding decisions are made by EMIs/banks. We improve readiness and positioning, recommend suitable providers, and coordinate responses to compliance queries to maximise success.
How long do EMI/bank accounts take to open?
Typically 2–8 weeks depending on risk profile, completeness of documents, and provider queues. We parallel‑track applications if permissible.
Are EMI funds protected?
EMIs safeguard client funds in segregated accounts with partner banks, subject to local regulation. Safeguarding is different from deposit insurance; we’ll explain how your chosen EMI protects funds and its residual risks.
MT4/5 KYC Solution
What’s included in FinPro’s MT4/5 KYC solution?
- Suitable jurisdiction company setup and corporate pack.
- Operational address & basic substance arrangements (where applicable).
- Bank/EMI account strategy and onboarding support.
- Legal opinion letter (if required by vendor/EMI), issued by qualified counsel.
- Compliance documentation: AML/CFT, risk, onboarding & T&Cs, privacy, complaints, outsourcing, and annual review pack.
- Annual KYC review support for vendor audits.
How long does the MT4/5 KYC package typically take?
Approximately 30 working days after we receive a complete set of documents. Banking/EMI queues may extend this; we’ll monitor and keep you informed.
What is a legal opinion letter and who issues it?
A legal opinion is a formal letter by a licensed law firm confirming your company’s legal existence, authorised activities, and compliance posture as relevant to a vendor/EMI. It is not a licence; it validates specific assertions to third parties.
What does the trading‑platform vendor typically ask for?
- Full corporate pack, ownership structure, and directors/UBO KYCs.
- Website, client onboarding flow, and AML/CFT policies.
- Risk management framework, complaints & client‑funds handling.
- Bank/EMI letter or evidence of operational accounts.
- Where applicable: legal opinion and evidence of regulatory permissions.
Do you support annual KYC renewals with the vendor?
Yes. We maintain a compliance calendar and assist with policy updates, organisational changes, and evidence packs for smooth annual reviews.
Prop Trading Setup
Which prop firm models do you support?
We assist challenge/evaluation models, instant‑funding variations, and hybrid structures. We focus on compliance, liquidity, risk management, and transparent T&Cs to reduce regulatory and reputational risk.
Do prop firms require licences?
It depends on the business model, marketing claims, and jurisdictions. Some activities may fall under investment or payment services. We review your flows and recommend either a licensing path or a licence‑light structure with strict disclosures.
How should prop payouts be handled?
We align payout methods (bank/EMI/wallet) with your risk policy, AML screening, and tax implications. Avoid misleading “profit share” framing if not backed by genuine trading allocations.
Compliance & AML
What’s the difference between KYC and KYB?
KYC verifies individuals; KYB verifies legal entities and their UBOs. Both feed into AML/CFT risk assessment and ongoing monitoring.
Which policies do we need from day one?
- AML/CFT & Sanctions policy and risk assessment.
- Client onboarding & suitability (incl. PEPs, adverse media, high‑risk geographies).
- Risk management and governance framework.
- Complaints handling, disclosures, and terms of business.
- Outsourcing/vendor management and information‑security controls.
Do we need a local MLRO/Compliance Officer?
Often yes for licensed entities; depends on jurisdiction. We can recommend qualified personnel or interim solutions and define reporting lines to the board.
How do you handle ongoing compliance monitoring?
We maintain a compliance calendar (KYC refresh, SAR/STR triggers, policy updates, training) and conduct periodic internal reviews to align with regulator or vendor expectations.
Website Design (Finance‑grade)
What’s included in a finance‑grade website build?
- Design & build (WordPress), performance tuning, and SEO‑ready structure.
- Compliance pages: Terms, Risk Disclosure, Privacy, Cookies.
- Blog/news, lead forms, analytics & consent integrations.
- Optional multilingual and brand assets (OG/Twitter images).
What’s the typical website timeline?
About 2–4 weeks for a standard site, assuming timely content approval and domain/DNS access.
Do you provide maintenance and updates?
Yes—content updates, security patches, Cloudflare optimisation, and speed improvements can be bundled into an annual plan.
Pricing & Payments
Do you require a deposit and how are milestones billed?
Yes. We invoice per agreed milestones (e.g., on signing and on company issuance/licence filing). All official payee and account details appear on the invoice; verify any changes with your FinPro manager.
What payment methods do you accept?
Standard method is bank transfer to our named account. USDT or other methods may be available for specific fees; your invoice will state accepted options.
Do you offer refunds?
Professional time and third‑party fees are non‑refundable once incurred. If scope changes materially, we’ll re‑baseline deliverables and fees in writing.
Data, Security & Confidentiality
Will you sign NDAs or data‑processing agreements (DPAs)?
Yes. We routinely operate under NDAs and can sign DPAs to address data protection obligations across relevant jurisdictions.
How is client data stored and for how long?
We store documents in secure repositories with access controls and encryption at rest. Retention aligns with legal and regulatory requirements; documents are deleted or archived thereafter.
