START WITH YOUR BUSINESS

Is a Seychelles IBC the right fit?

The choice of jurisdiction should reflect your customers, banking options, management location and tax position. We begin with what the company will actually do.

CROSS-BORDER TRADE

Purchasing and sales

Review the trading chain, contracting entity and payment flows, including where counterparties operate and whether banks accept the business model.

BUSINESS SERVICES

Consulting and technology

Consider where services are delivered, where the team works and what customers require before choosing an IBC as the contracting entity.

HOLDING STRUCTURES

Group ownership and investments

Map the investment purpose, ownership chain and source of funds, with legal and tax input in the relevant jurisdictions.

INCORPORATION REQUIREMENTS

The essentials of a Seychelles IBC

An IBC is incorporated under the Seychelles International Business Companies Act. The registered agent reviews the proposed structure, activity and supporting documents.

View the IBC legal framework ↗
Owners & directors
A standard IBC needs at least one shareholder and one director. The same eligible person may hold both roles; a Seychelles-resident director is not generally required.
Registered agent
A licensed registered agent in Seychelles must remain appointed to handle incorporation and relevant statutory procedures.
Registered office
Maintain a registered office in Seychelles. An address service is separate from any requirement for physical premises, staff or economic substance.
Name & shares
Check name availability and restricted words, then agree share classes, numbers, currency and ownership proportions in the company documents.
Beneficial owners
Identify the individuals who ultimately own or control the company, verify their details and keep the relevant records current.
Permitted activity
Check whether an IBC may conduct the proposed activity and whether a licence or other permission is required. Incorporation does not authorise regulated business.

THE PROCESS

Four steps to establish your company

Confirm the activity and documents before filing, then agree how the company will be maintained after registration.

  1. 01

    Review and due diligence

Discuss the business, markets, source of funds and account needs. Review the owners, directors and beneficial owners.

  2. 02

    Name and signed documents

Confirm the name, share structure and service scope. Prepare and sign the required incorporation documents.

  3. 03

    Application and follow-up

The local registered agent files the application and handles name queries, additional documents and the registration outcome.

  4. 04

    Handover and next steps

Receive the company pack and maintenance schedule, then begin banking preparation within the agreed scope.

How long does it take? Allow for due diligence, signing, registry processing and document delivery. We provide an indicative schedule after the initial review. Additional documents, certification and bank onboarding have separate timelines.

What to prepare before you start

Individual owners, directors and beneficial owners

  • Valid identification and recent address evidence
  • Business background, contact details and proposed names
  • Ownership percentages and control arrangements
  • Source of funds and business evidence as requested

Corporate shareholders or layered ownership

  • Shareholder company’s certificate and constitution
  • Current directors, members and status evidence
  • Ownership chart through to the beneficial owners
  • Authorising resolutions and relevant personal identification

Document age, certification, translation and additional evidence depend on the registered agent’s and relevant institution’s requirements.

FEES & BUDGET

Understand the setup cost and the annual commitment.

The quotation reflects the ownership structure, number of parties, certification needs and selected services, with first-year and recurring costs shown separately.

Registry charges

Incorporation, name-related matters and applicable official charges at the time of filing.

Setup services

Document review, preparation, application coordination and delivery of the company pack.

Annual agent & office

Confirm whether the registered agent, office, annual government fees and routine maintenance are included.

Optional work

Banking support, accounting records, financial summaries, tax work, certification and corporate changes are quoted by scope.

AFTER INCORPORATION

Keep the company’s records aligned with its business

Annual maintenance goes beyond paying a renewal fee. Business records, ownership information and applicable filing and tax duties also need attention.

ANNUAL ARRANGEMENTS

Renewals and statutory maintenance

Maintain the agent and office, pay annual charges and complete applicable declarations. Confirm deadlines, service coverage and company status.

ACCOUNTING RECORDS

Retain transaction evidence

Keep accounting records, normally for at least seven years. Records held abroad must be lodged at the Seychelles registered office at least twice a year as required.

FINANCIAL SUMMARY

Check the company’s category

Where applicable, prepare an annual financial summary within six months of year-end and retain it at the registered office. Ask the agent to confirm any exemption.

CORPORATE INFORMATION

Update ownership and control details

Notify the agent promptly when directors, shareholders or beneficial owners change, so registers and applicable filings can be updated within statutory deadlines.

Tax treatment follows the facts

Seychelles has a territorial tax system, with additional rules for foreign income of covered companies, including an economic substance test for certain foreign passive income. IBC status does not automatically make all income tax-free.

Assess registration and filing obligations against the income source, group structure and management location, alongside obligations in other relevant jurisdictions. Read the SRC tax overview ↗

FREQUENTLY ASKED QUESTIONS

Before you incorporate in Seychelles

Do I need to visit Seychelles?

Company formation can generally proceed through remote document preparation and signing. Identity checks, certification and original documents depend on the case. Bank onboarding is separate and may involve video checks or an interview.

Does incorporation guarantee a bank account?

No. Account eligibility and approval depend on the institution’s assessment of the business, ownership, tax information and expected transactions. Assess banking options alongside the incorporation plan.

Will the company automatically receive a Seychelles TIN?

No. An August 2026 SRC notice suspended TIN issuance for IBCs not operating locally and applying only for banking purposes. It identifies Seychelles-source income and multinational group membership as the qualifying categories. Confirm the applicable position before onboarding. Read the SRC notice ↗

Is an IBC completely anonymous?

No. Beneficial ownership must be identified and recorded. Under the 2026 amendment, current directors’ names and appointment dates become available in registry information from 1 January 2027. Read the amendment ↗

Do companies without revenue still need records?

Yes. Retain evidence of incorporation costs, share capital and banking activity even if there is no trading revenue. Financial summary, tax and audit requirements should be checked against the company’s category and activities.

Can an IBC immediately offer forex, securities or virtual asset services?

Incorporation is not a financial licence. Review the proposed activities, customer locations and applicable prohibitions, restrictions and permissions, including whether an IBC is an eligible entity for the business.
